Affiliate Program Terms and Conditions

1. Introduction and Definitions
Welcome to the LeadBeans Affiliate Program! These Terms and Conditions (the "Agreement") is made between LeadBeans (“LeadBeans”, “the Company”, “we”) and you ( “You”, “Affiliate”) and govern your participation in our affiliate program at https://leadbeans.net/ (the "Program"). By participating in the Program, You agree to comply with and be bound by these terms and conditions. You are responsible for assuring that your employees, agents and contractors comply with this Agreement.

1.1 Affiliate
Means You - an individual or entity that has enrolled in the LeadBeans Affiliate Program and has been approved by us.

1.2 Affiliate Account
The account created and maintained by the Affiliate within the LeadBeans system to track promotions, clicks, conversions, and commissions.

1.3 Affiliate Link
A unique URL provided to the Affiliate by LeadBeans that tracks the traffic and sales generated by the Affiliate’s promotional efforts.

1.4 Affiliate Program
The program managed by LeadBeans that allows Affiliates to provide advertising activity on Promotional Websites and earn commissions based on performance metrics.

1.5 Commission
The amount payable to the Affiliate based on the agreed percentage of sales or other qualifying actions generated through the Affiliate's promotional efforts.

1.6 Confidential Information
Any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, personnel and suppliers of each Party, including Intellectual Property Rights of either party, together with all information derived from the above and any other information clearly designated as being confidential (whether or not it is marked as “confidential”) or which ought reasonably to be regarded as confidential including, without limitation, any information in relation to Program and this Agreement.

1.7 Customer
An individual or entity that clicks on an Affiliate Link and completes a purchase or another qualifying action on the Participating website.

1.8 Cookie Stuffing
A deceptive practice that involves placing cookies on a customer’s browser without their knowledge or consent, in order to fraudulently claim commissions for sales that the Affiliate did not generate.

1.9 Net Revenue
The total revenue generated from referred customers, excluding any deductions for taxes, shipping, returns, refunds, chargebacks, and fraudulent transactions.

1.10 Promotional Materials
All marketing and promotional materials, including but not limited to banners, links, logos, and text ads, provided by LeadBeans to the Affiliate for use in their promotional efforts.

1.11 Participating Websites
Website(s) that either belong to the Affiliate or the Affiliate has the right to use for the purpose of providing services in accordance with this Agreement.

1.12 Qualifying Action
An action that qualifies for commission payment, such as a sale, sign-up, or other specified activity completed by a customer referred by the Affiliate.

1.13 Spam
Unsolicited bulk email or other communication that is sent without the recipient's consent and in violation of applicable laws and regulations.

1.14 Tracking Code
A code embedded in the Affiliate Link or Promotional Materials that tracks the traffic, sales, and other actions generated by the Affiliate’s promotional efforts.

1.15 Threshold
The minimum commission balance required before an Affiliate is eligible to receive a payment. The specific amount is detailed in the Payment section of the Agreement.

2. Enrollment in the Program
2.1 To enroll in the Program, You must complete and submit the online application form. We will evaluate your application and notify You of your acceptance or rejection. We may reject your application at any time at our sole discretion and for any reason. Nothing in this Agreement can be treated as our obligation to accept You in the Program.

2.2 You confirm that all information provided by You in the application form is true and up to date. We reserve the right to ask you to provide additional information any time during the time of validity if your Account.

2.3 You are solely responsible for the payment of all possible taxes and fees related to your enrollment in the Program, we do not provide any legal or tax advice in this or any other regard.

3. Affiliate Responsibilities
3.1 You must comply with all applicable laws, regulations, guidelines and rules as well as terms of the present Agreement and terms or policies of any third party service provider in relation to your business, your use of the Promotional materials and participation in the Affiliate Program.

3.2 We will provide you with links, banners and other promotional materials ("Promotional Materials"). You may display these materials on your website(s) (Participating Websites) as long as your participation in the Program is active. You will only use linking Tracking code obtained from us without manipulation.

3.3 You will have a sole responsibility for the operation, development, eligibility and maintenance of all content on or linked to your Participating Websites.

3.4 You must ensure that all the content and materials posted on your Participating Websites or otherwise used in connection with the Affiliate Program are not illegal, do not infringe any of the intellectual property or personal rights of any third party and do not contain or link to any material which is harmful, threatening, defamatory, obscene, sexually explicit, harassing, promotes violence, promotes discrimination, promotes illegal activities, contains profanity or otherwise contains materials that LeadBeans informs you that it considers restrictive ("Restrictive Content").

3.5 Participating Websites should not contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.

Participating websites should not contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website.

3.7 Prohibited activities

Affiliates must not:

  • Use deceptive or misleading advertising.
  • Engage in spamming or unsolicited email campaigns.
  • Use cookie stuffing techniques or include pop-ups, false or misleading links on your Participating Websites.
  • Mask the referring URL information;
  • Infringe on our or anyone else’s intellectual property, publicity, privacy or other rights;
  • Violate any law, rule or regulation;
  • Place our offers on any online auction platform, for example eBay, Amazon, etc.

4. Commissions

4.1 You will be eligible to earn Commissions when the referred Customer will click-through a unique Affiliate link and complete a Qualifying action. The referred Customer should be a real live person, not involved in any fraudulent activity in relation to use of the Promotional materials and participation in the Affiliate Program before. We do not accept computer generated users, like computer script or other automated, artificial or fraudulent method to appear as a real person. Referred Customer should provide all the necessary information, required by the linked site.

4.2 Commissions are paid on a monthly basis, provided the commission balance exceeds the threshold of 100, 00 (one hundred) USD. If the balance is below the threshold, it will roll over to the next payment period.

4.3 Before payment of the Commission, we may carry out an additional verification of your Account and ask you to provide additional documents. Failure to provide the documents may result in suspension of the payment.

4.4 Payment of the Commission to You is dependent upon Customers’ payment of such funds to LeadBeans, and therefore, you agree and confirm that LeadBeans shall only be liable to you for Commission to the extent that LeadBeans has received such funds from the Customers. You hereby release LeadBeans from any claim for Commission if we have not received such funds from the relevant Customers.

4.5 You give your consent to LeadBeans to make the records of the Qualifying actions and calculations related to Commission payment and shall agree with such records and calculations. In case of any dispute regarding the number of Qualifying Actions shall arise, the records and calculations of LeadBeans shall prevail.

4.6 In case You disagree with the balance of the Commission due, You should notify us within 14 (fourteen) days and state the reason of your disagreement. Failure to notify us within abovementioned time limit shall be deemed as an acknowledgement of the balance due for the above period.

4.7 In case You will have any amount due to LeadBeans, hereby you give us your official consent to offset any amount due from the amounts payable to You according to this Agreement.

5. Termination

5.1 Termination by Either Party: Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice 30 (thirty) days in advance.

5.2 Termination for Cause: We may terminate this Agreement immediately if we determine that you have violated any terms of this Agreement or engaged in any activity that may harm our business or reputation.

5.3 Effect of Termination: Upon termination, you must remove all Promotional Materials and cease all use of our trademarks. Any pending commissions that have not yet met the payment threshold will be forfeited.

6. Intellectual Property

6.1 We grant you a non-exclusive, non-transferable, revocable license to use the Promotional Materials for the purposes and on conditions mentioned in present Agreement. You are not allowed to change, modify, manipulate or create derivative works of the Promotional Materials or to challenge any Intellectual Property rights of LeadBeans.

6.2 All the content, software, code, website related to the Affiliate Program are subject to copyright and other proprietary rights and are owned by the LeadBeans or licensed to it by its rights owner. Any Intellectual Property Rights which are owned or controlled by either Party prior to the Effective Date or which is acquired by a Party independently of this Agreement shall at all times continue to be owned and/or controlled by the said Party.

6.3 Nothing in this Agreement shall be construed as a transfer of any rights on intellectual property to the Affiliate, either owned by LeadBeans or used under license from a third party rights owner. All intellectual property rights created or derived from the Agreement shall be the sole property of LeadBeans.

7. Limitation of Liability

7.1 We will not be liable for any direct, indirect, punitive, special, or consequential damages or any loss of revenue, profits, business opportunities or data of any nature whatsoever arising in connection with this Agreement or the Affiliate program, even if we have been advised of the possibility of such damages or losses.

7.2 In any possible case our total aggregate liability to the Affiliate shall not exceed the total amount of Commission paid by us to the Affiliate under this Agreement in Commissions during 3 (three) consecutive months prior to the relevant claim.

7.3 LeadBeans shall not be liable for the unavailability, errors, mistakes in performance of the Promotional materials, website, software or any other disruption of any possible nature beyond the reasonable control of the LeadBeans.

8. Disclaimers

8.1 We make no express or implied warranties or representations with respect to the Affiliate Program, Website, Promotional Materials or any products or services sold or accessed through the Program.

8.2 The Program, Promotional Materials, LeadBeans website are provided to the Affiliate on AS IS basis. Other than as provided in this Agreement, LeadBeans makes no other warranties, express or implied, and hereby disclaims all implied warranties, including any warranty of merchantability and warranty of fitness for a particular purpose.

9. Confidentiality

9.1 Each Party will, during the term of this Agreement and thereafter, keep confidential and not use for its own purposes (other than for the implementation of this Agreement) nor without the prior written consent of the other Party disclose to any third party (except its professional advisers or as may be required by any law or any legal or regulatory authority) any Confidential information which may become known to such Party from the other Party and which relates to the other Party or any of its Group, unless that information is public knowledge or already known to such Party at the time of disclosure, or subsequently becomes public knowledge other than by breach of this Agreement, or subsequently comes lawfully into the possession of such Party from a third Party. Each Party will use its reasonable endeavours to prevent the unauthorised disclosure of any such information.

9.2 Each Party shall inform its employees of their obligations under this Agreement and shall take such steps as may be reasonable in the circumstances, or as may be reasonably requested by another Party, to prevent any unauthorized disclosure, copying or use of the Confidential Information.

10. Governing Law

10.1 This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus and any dispute there under will be subject to the exclusive jurisdiction of the Courts of the Republic of Cyprus.

11. Amendments

11.1 We may amend this Agreement at any time by posting the new terms on our site. Your continued participation in the Program constitutes your acceptance of the amended terms.

12. Miscellaneous

12.1 Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the Program.

12.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Language: These Agreement has been drawn up in English language. In the event of a discrepancy between the English language version of this Agreement and any translation into other language, the English language version shall always prevail.

12.4 Waiver: Our failure to enforce any provision of this Agreement will not be deemed a waiver of that provision or any other provision of this Agreement.

By participating in the LeadBeans Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
